This was announced by the European Commission\u00a0<a href=\"https:\/\/ec.europa.eu\/commission\/presscorner\/detail\/en\/mex_26_801\" target=\"_blank\" rel=\"noopener noreferrer\">in a note<\/a>, following the\u00a0<a href=\"https:\/\/competition-cases.ec.europa.eu\/cases\/M.11992\" target=\"_blank\" rel=\"noopener noreferrer\">first statement<\/a>\u00a0by the European Competition Authority\u2019s transaction register. The transaction mainly concerns landing stations for submarine cables and related backhaul activities, i.e. the activities connecting peripheral access points to the central core of the infrastructure.<\/p>\n<p>The Commission concluded that this transaction &#8220;would not raise competition concerns,&#8221; given its\u00a0<strong>limited impact<\/strong>\u00a0on competition in the companies&#8217; markets. In particular, the EU Commission found that in all the markets identified where the parties\u2019 activities overlap horizontally, \u201cthe parties\u2019 combined market shares would remain moderate and several viable alternative suppliers would remain in the market.\u201d Furthermore, the Commission concluded that \u201cthe merged entity would not have the ability or incentive to foreclose rival backhaul providers.\u201d The notified transaction was examined under the standard merger review procedure.<\/p>\n<p>Now, all that is needed to give the acquisition the final push is the green light from the\u00a0<strong>United States<\/strong>. Tim expects the transaction to be completed in the\u00a0<strong>second quarter of 2026<\/strong>, and the buyback is linked to the closing; this is the route chosen by the group led by Pietro Labriola to reward shareholders: a share buyback amounting to 50 per cent of the proceeds from the sale of Sparkle, up to 400 million.<\/p>\n<p>Telecom Italia Sparkle is an\u00a0<strong>international telecommunications company<\/strong>\u00a0that provides voice, data, and IP services, as well as cloud and data centre solutions, to retail and wholesale operators and multinational corporations.
